These terms govern business use of the EZ-BMS.com website, EZ-BMS web service, mobile app and the 30-day trial. Please read them before creating an organisation. The person accepting them confirms they are authorised to act for that organisation.
1. The service and your organisation
EZ-BMS is business management software for customer relationships, workforce activity, planning, projects, support and related reporting. Your organisation manages its users, permissions, records and lawful use. You are responsible for accurate account details, protecting login credentials, assigning appropriate access and promptly removing access that is no longer needed. Users must not share accounts or try to access another organisation's data.
2. Your free trial
The self-service trial starts when the activation link sent to the registration email is used. It lasts 30 days, includes five seats and the Complete feature set, and does not require a payment card. When the trial ends, the workspace becomes read-only unless your organisation arranges a paid subscription. The trial does not automatically become a paid subscription and no trial charge is taken without a separate paid agreement. Read-only access is not a promise that trial data will be retained indefinitely; contact us before trial expiry if you need an export or a paid plan.
3. Paid plans, seats and billing
A paid subscription is governed by an accepted written quotation, order or subscription confirmation setting out the plan, number of seats, price, billing currency, tax, term, renewal date and payment terms. The available plans are Core, Pro, Complete and Custom. Seats start at five and increase in blocks of five. Your organisation's administrator can request a change; a request or on-screen quotation alone is not approval. An approved plan upgrade or seat addition takes effect when applied and may generate a pro-rata invoice for the remaining term. An approved downgrade or seat reduction is scheduled for the end of the current contract term. The amount due now and the next renewal price should be reviewed before accepting a change. Invoices are payable on the due date shown on the invoice or agreed order. We do not change an issued invoice's currency or amount merely because the account's future billing currency changes.
4. Permitted use
During an active trial or subscription, we grant your authorised users a limited, non-exclusive right to use EZ-BMS for your organisation's internal business operations within its enabled plan, modules and seat limit. Do not resell access without written agreement; copy or reverse engineer software except where law permits; interfere with security, service availability or tenant separation; introduce malware; scrape or overload the service; or use it to send unlawful, deceptive or harassing content. We may take proportionate steps to stop a credible security threat or serious misuse and will give notice when practicable.
5. Your data and responsibilities
Your organisation controls the business and workforce information its users enter. It must have the rights and lawful basis to collect and use that information, give appropriate privacy notices to staff and contacts, and decide how features such as attendance location capture or permission-based location requests are used. EZ-BMS reports support operational decisions but do not replace your checks for payroll, employment, legal or safety purposes. We process customer data to provide and support the service, subject to applicable data-protection law and any separately agreed data-processing terms. Our Privacy Policy explains our own processing and the general distinction between your organisation's responsibilities and ours.
6. Exports, backups and recovery
Authorised customer administrators can use the organisation data export and customer recovery features available in their account. Platform recovery is restricted to authorised Platform staff. A restore can roll back data entered after the selected backup. Keep your own downloaded exports securely and verify that they are complete for your needs. No particular uptime, recovery time, recovery point or backup retention period is guaranteed unless expressly included in your accepted order or a separate service-level agreement.
7. Service changes and support
We aim to provide the service with reasonable skill and care and may maintain or update it for security, legal or operational reasons. We will give reasonable notice of material planned changes when practicable. Functionality depends on the plan, settings, permissions, device and connected third-party services. Separate suppliers' services may have their own terms. Support is available through the published Support page; a specific response time applies only if separately agreed.
8. Suspension, cancellation and ending access
Paid term, renewal, cancellation notice and any refund arrangements are those in your accepted order. We may suspend access for serious security or unlawful-use concerns, or for undisputed overdue payment after reasonable notice and a chance to resolve it, unless immediate action is needed. Either party may end a paid agreement for an unremedied material breach after giving reasonable written notice; an order may specify the cure period. Before a subscription ends, your administrator should use available export tools. Contact support to arrange any post-termination export or deletion request; the timing and any lawful retention will be set out in the accepted order or data-processing terms. Some billing, security and audit records may need to be retained where law permits or requires.
9. Confidentiality and intellectual property
Each party should protect the other's non-public information and use it only to perform this agreement, except where disclosure is legally required or to advisers and suppliers under suitable duties. Your organisation retains rights in its data. EZ-BMS.com and its licensors retain rights in the software, branding and documentation. Providing feedback does not transfer ownership of your customer data.
10. Liability
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or anything else that cannot lawfully be excluded. Each party is responsible for losses that are reasonably foreseeable from its breach, subject to applicable law and any expressly agreed liability provisions in a paid order. We do not guarantee uninterrupted or error-free operation, but this does not remove rights or remedies that the law does not permit us to exclude.
11. Changes, contact and governing law
We may update these terms for future use and will display a revised effective date. Material changes affecting an existing paid subscription should be notified; the accepted order controls any negotiated fixed-term commitment. These terms are governed by the law of England and Wales, subject to any mandatory law that applies. Questions about these terms can be sent to [email protected].
